The Matters Reserved for the Board were last reviewed and approved on 27th January 2025.
The Remuneration Committee consists of the three Non-Executive Directors: Helen Keays (Committee Chair), Liz McMeikan and John Gittins. The terms of reference of the Committee include benchmarking and setting remuneration packages for the Executive Directors and senior managers.
The terms of reference for the Remuneration Committee were last reviewed and approved on 29th January 2024.
The Audit Committee consists of John Gittins (Committee Chair), Helen Keays and Liz McMeikan. The terms of reference of the Committee include keeping under review the scope and results of the external audit, The Committee ensures the independence and objectivity of the external auditors, including the nature and extent of non-audit services supplied.
The terms of reference for the Audit Committee were last reviewed and approved on 7th December 2023.
The Nomination Committee comprises Liz McMeikan (Committee Chair), John Gittins and Helen Keays. The terms of reference of the Committee include regularly reviewing the structure, size and composition of the board, consideration of succession planning for directors and other senior executives and responsibility for identifying and nominating candidates to fill board vacancies.
The terms of reference for the Nomination Committee were last reviewed and approved on 19th July 2021.
